Please read the following update from Paul Eddington, Agel Europe Regional Manager, with some great news and tips on the Agel Expansion, Agel Turkey, Agel Marketing Plan, and the Agel Product Registration in Europe.

Agel Leaders — We are back from the US Holiday weekend and eager to finish November strong. We are encouraged by the amount of growth in the European market since the opening in September. We are seeing increases in several countries. Progress is being made despite the obstacles. Your patience is greatly appreciated as we move through the early stages of preparing to launch Europe in a major way.

Urgency — Product registration in Belgium, Germany, and the UK is nearly complete. We should have all of them back by the end of the first week in December! We will let you know when the Not For Resale status changes in those countries. Then additional country registrations will follow shortly. As Agel works through the product registration process in Europe in preparation for next year’s GRAND OPENING, Team Members in Europe should feel the urgency of locking in their legacy positions with Agel. The greatest opportunity is right now. What you accomplish in the next 90 days will have major repercussions on all future commissions. If you are still waiting for everything to be perfect before you start, I’m afraid it will be too late. Agel needs leaders in Europe today who are willing and able to weather the jungle. Are you the one?

Agel Turkey Update – Turkey will be the next country to open in Europe for pre-enrollment. We have already established the Turkey company, prepared the warehouse, secured a shipping company, programmed the Agel back office, and finished the Turkish product labels. We will print and apply Turkish over labels this week. Also, the first round of Turkish marketing materials will be printed and ready by early next week. The products and brochures will then be shipped to Turkey where they will received by the Turkish authorities and held until the product registration is complete, hopefully in the next two weeks. Once the registration is complete, there will be a few days of product testing by Turkish officials before we can start accepting applications and charging credit cards. This is all really good news. For those keeping track, we are awaiting product registration on Agel UMI, Agel MIN, Agel OHM, and Agel FIT in Turkey. Because of Turkish product laws, Agel EXO will be reformulated and registered at a later date.

Agel Expansion – We understand your desires to explore opportunities in new and exotic countries. We field questions everyday about Switzerland, Italy, France, Norway, South Africa, India, South America, etc. Our advise is to work the countries that are open until you hear a new country is ready. There is no set formula or timeline on how long it takes to become operationally ready in a new country. If you ask how long it is going to be, I do not know. I fear we spend too much time thinking and worrying about what we don’t have rather than spending our time constructively thinking about the things we do have. The numbers show that there are millions of people who haven’t heard about Agel who live in the countries where Agel is now available. Build your business with them. We have a saying in the US that goes something like this, “Step over a dollar to pick up a dime.” If you are only looking for growth in countries that are not open, you are missing a great opportunity.

Agel Marketing Plan – There is a new update to the carry-over rules in the Agel Marketing Plan. Agel will now allow up to 5.000 CV carry-over on the strong leg for a one box order. Here are the new carry-over limits: 1 box qualifies you for up to 5.000 CV Carry-over, 2 box qualifies you for up to 50.000 CV Carry-over, 3 box qualifies you for up to 100.000 CV Carry-over and 4 box qualifies you for up to 250.000 CV Carry-over. This is effective starting now.

Last Day of the Month — Everyone has one more day to finish the month strong. Try to push a little harder, find one more person, make one more phone call. Hi Guys,

I’m sitting in a Starbucks café on Piccadilly Street in London. I’ll be wrapping up my EU tour with an ABB here tonight. It has been a wonderful trip, and a great chance to meet some of our emerging European leaders. And a great time to reflect on the adventure we been on for the last year as we’ve brought Agel to life?

I remember when it all began for me, with a PBR in my home with only five people attending. Then the first ABB when Eric Worre came down. He brought a stack of tickets to the Leadership Summit we had scheduled the very next month in Chicago.

We encouraged people to drop whatever they had planned and get to that event. We made a very bold statement at the time. We said more millionaires would be created in that room than any other meeting that had been held in MLM.

Pretty audacious don’t you think?

But we were adamant, and suggested anyone check back in five years to see. Well it’s only been one year, and there is some pretty interesting evidence developing…

Of course Randy Schroeder, Eric and myself have developed million-dollar-plus residual incomes since that meeting. But many people expected that to happen no matter what. But some other intriguing developments have also taken place.

Ann and David Feinstein were there, and of course they went on to become Diamond Directors. They now have an income most people are afraid to even dream about.

Ivan Sisco who was there with a group is now a Corporate Director with Agel, and locked in to the millionaire track. And he can trace all of the key events that made that happen to the initial group he took to Chicago.

Sarah and Tony Zolecki were there, but back then they were Sarah Strom and Tony Zolecki, and they had never met. But evidently love was in the air along with prosperity, and they went on to become husband and wife, and Corporate Directors as well! They would be the first to tell you that Chicago started a chain reaction of events that put their lives, their business and their financial freedom, on the fast track to reality.

Two of the people at the original South Florida ABB were a couple guys I play softball with; Billy Looper and Wes Anderson. They bought a stack of tickets for the Chicago event and promoted it hard. They understood the magnitude of what would take place.

And of course by now you have probably heard, they just joined the exclusive club of Diamond Directors with Agel Enterprises. That’s exciting of course, but even more exciting to me, is the fact that they had no experience in the business before! And now make more money in a month, than a whole lot of people earn in a year.

There are lots more stories from Chicago, but you get the point. So where will we be in another four years? I don’t know exactly but I’m confident we’ll have succeeded in our goal of creating more new millionaires from that initial meeting than any other.

Of course from Chicago, what our leaders did was build to the next big event, the Agel Launch. And from there, they keyed on the next major affair, the first Go Diamond Weekend. Which of course birthed the next generation of Agel leaders:

Antonio Adair, Dr. Tim Berry, Julie Mirr, Melanie Mills, Rob and Rivers Corbett, Kobi Avisar and Gitit and Hanan from Israel, and a whole bunch of other emerging leaders you haven’t heard about yet. But you will.

So why do I tell you all this?

Because registration is now open for the second “Go Diamond Weekend” and you simply have to be there. No matter the cost, no matter the timing, no matter the distance. Because this event will be the defining moment; the one that delineates the crossover from upstart new launch to industry powerhouse that rolls into prominence as that special kind of company that comes around only every 20 or 25 years. One of the other big things that will take place at “Go Diamond Weekend” is an assimilation of all our new international leaders. This is the first major event since we began pre-launch operations in the EU and some other countries. Here’s today’s letter to all Agel European Team Leaders from Paul Eddington.

Team Leaders in Europe, we appreciate your help spreading the news about Agel. We have come far since the announcement at Agel World last month. Our numbers are growing every day and Europe continues to rise in enrollments during its second month. That is a tribute to all of you and the great work you are doing. Especially under some trying and difficult pre-opening conditions.

Have you noticed that the beauty of the Agel products is their universal appeal? The concept of Suspension Gel Technology transcends differences in languages, cultures, and nationalities.

We now have Team Members in all 20 European Union Countries currently open as well as the other 17 countries around the world. Kyle Copeland, Agel’s Chief Financial Officer is visiting Italy, France, and Turkey this week to assess our progress towards opening those countries. Although we are still very young, Agel is growing everyday.

Today’s letter addresses the timely European topics of Customer Service, the Foreign Exchange Rate, Banking, European Travel Schedule, Resent Orders, and Marketing Materials in the EU.

CUSTOMER SERVICE – Customer Service has installed a call center tracking software that tracks all incoming phone calls to customer service. We are watching closely to see which markets are making the most calls and where we have the greatest need. I would love to see Customer Service answering European phone calls everyday so we can justify bringing in more foreign speaking customer service agents.

NEW PHONE NUMBERS – All Customer Service is handled at corporate headquarters. To reach that service, Europeans have been asked to dial a United States phone number. Agel now has a dedicated phone line and another dedicated fax line in Europe. These numbers are forwarded to Customer Service in the US at no extra charge to the user. We are just waiting for the European phone company to active the lines.

EUROPEAN EXCHANGE RATE – Agel has set the cost of its goods in US Dollars. From that set cost, Agel uses the currency exchange rate to set the Foreign Currency Equivalent. Right now, when Agel charges a Team Members credit card, we charge the US Dollar amount as that is the only currency our processing company can charge. That means Team Members are subject to the credit card company’s foreign currency exchange rate on that day. Agel has no control over that part of the exchange. Because of currency fluctuations, the amount we charge today will never be exactly the same as the Foreign Currency Equivalent we are advertising. This is why some Team Members are upset. The only real solution to this is the one that we have taken by engaging a new processing company. That company is called Paymentech. Unfortunately, this has taken much longer than anticipated to implement. With Paymentech, Agel will be able to charge Europeans in Euros and Pounds Sterling and the amount advertised in the back office and the amount actually charged will match.

Until that solution is available, we are creating an invoice that will show the US Dollar amount charged along- side the equivalent amount in Euros and Pounds.

EXO and MIN – The European formulas for both Agel EXO and MIN have been finalized and production will begin in November.

Here’s an update I’ve just received from Paul Eddington, Agel Europe Regional Manager, on two important questions: how does Agel UK deal with Executive Orders to comply with the UK Law? And what exactly is the VAT (or Value Added Tax) charged in all those European markets where Agel is already open for business?

UK Law – Any UK order exceeding £200 must be split into two separate orders, with the first order not exceeding £200. Agel complies with this law by billing and sending a four- box order initially, waiting ten calendar days and then billing and sending the balance, if the order exceeds the £200 limit.
This raises the question, what happens with CV on a split order?

The answer is, Agel will split the CV into two parts and will record CV when the corresponding payment is collected. This means an Executive Kit order’s CV could be split over two months if an enrollment happens during the last ten days of any given month. The full CV will not be recorded in the first month. Only the volume on the first four boxes will be calculated in that month. This new Agel UK policy is effective October 1, 2006. The Fast Start Bonus is also split.

Going forward, the Agel system will recognize and show monthly CV based on orders fulfilled in that month. Commission will be calculated on total volume at the end of the month, regardless of pending orders in the UK.

VAT (or Value Added Tax) is a tax charged on all goods and services. The VAT rate is different for every European country. (See the chart below) Agel collects the appropriate tax in each market on all sales and then reports all sales to the respective European governments. Under the NFR model, Agel is responsible for collecting and paying VAT to the individual governments.

The EU has established a tax exemption status for European entities that have applied for and received a tax-exempt VAT Registration Number. If an entity has qualified for one of these EU VAT registration numbers, Agel should not charge any tax for the purchase of goods or services, and should pay that entity the VAT equivalent on their commissions.

Agel’s European Back Office System was not originally set up to handle this tax issue. It will be set up by the end of this week. While we collected VAT registration numbers during the initial enrollment process, we did not validate those numbers and subsequently on September sales everyone was charged VAT and on September Commissions, no one received VAT. Agel will correct that before the end of the month. Every Team Member in Europe who has a valid VAT Registration Number will receive a reimbursement for September that will include the VAT that was incorrectly collected plus the VAT on the commissions they were paid.

When signing up new Team Members in Europe, make sure that you include their EU VAT registration number if they have one. If they are already signed up and would like to add a VAT registration number to their account, please have them fax a copy of the EU VAT registration to Agel with their Agel ID Number. We will verify the number and then add the registration number to their account.

TO ALL EUROPEAN TEAM LEADERS

An Open Letter to European Team Leaders,

In an effort to significantly improve field communication in the EU, we have established a regular e-mail campaign that will go out to you, the leaders of Europe, every Monday, Wednesday, and Friday. This Agel e-mail communication will address areas of immediate concern and also keep you informed of all the happenings here at Agel. Your input is greatly appreciated. This e-mail will go out to you prior to going out to the field and will include information that will not be sent to the field at large.

We want to give you all of the information and allow you to be the conduit of Agel information to your teams.

This week we have several things to discuss, including a new product in Europe, the inclusion of Finland as a menu option in the back office, the issue of the legality of the Agel Marketing Plan in Germany, and plea for your help with shipping issues.

AGEL OHM—Starting this week, OHM is an option in the European Back Office and is available for both Autoships and initial orders. The cost of OHM in Europe is the same as FIT. OHM is considered NFR (Not For Resale) in all open EU markets except the Netherlands.FINLAND—The Agel Back Office has been updated to include Finland as a country option. France, Italy, Greece, Malta, and Cyprus have not been added. Their inclusion as an option in Europe will be announced later when we have worked through the social, tax, and shipping issues involved when doing business in these countries. Other countries we are currently working to open include, Turkey, Norway, and Switzerland.

Team Members have asked about signing up new Team Members in countries not currently supported by Agel. Today our unified response to that question is no. Just this week, Agel contacted all Team Members living in countries not supported by Agel and informed them their accounts will be discontinued. We are aware the practice of enrolling Team Members in countries not currently supported has become an increasing liability for Agel and have now officially put an end to that practice.

THE AGEL MARKETING (PAY) PLAN IN GERMANY— We have received inquiries from the field regarding the legality of the Agel Marketing Plan in Germany.

Make sure everyone you talk to knows that the Agel Plan is 100% LEGAL in Germany.

At no small cost to Agel, our German plan has been reviewed and approved by Agel’s top legal experts in Germany.

The Marketing Plan for Germany is outlined in the European Policies and Procedures with the following differences:

Terms and Conditions for Team Members Working and Doing Business in
Germany

These Terms and Conditions for Germany apply in addition to the Policies & Procedures, the Compensation Plan and the Team Member Application to all Team Members registered or domiciled in Germany and are an integral part of the Agreement between Agel Enterprises (Netherlands) B.V. (“the Company”) and a Team Member.

1. Focus of the Company’s system. The main focus of the Company and its distribution system is the sale of products to end-users. Although the Team Members may recruit new Team Members to achieve an additional income, there is no obligation on the Team Member to do so. Accordingly, a Team Member may limit its activities to procuring sales of products without recruiting new Team Members. Any provisions suggesting otherwise shall be interpreted according to this provision.

2. Fast Start Commissions Replaced by First-Order Bonus. As the focus of the Company’s sales strategy is the sale of products, the Company will – in deviation from Section 2 of the Compensation Plan – not grant any Fast Start Commissions to a Team Member. Rather, the Team Member will be entitled to a bonus for the first order of a new end- user procured by the Team Member if the first order of the end-user equals or exceeds US$ 250 (“First-Order Bonus”). The First Order Bonus is calculated on the invoice amount and amounts to 14% if the invoice amount equals or exceeds US$ 250 and 20% if the invoice amount equals or exceeds US$ 1000. In addition to the First Order Bonus the Team Member will be entitled to the Commissionable Volume (CV ) of 500 for the Executive level package and 125 for the retail level package.

3. Independent Contract Status. A Team Member is an independent contractor. Accordingly, a Team Member is free in organizing his time, shall arrange on his own for the necessary means of operation and shall in general be able to freely organize his activities in compliance with the obligations stipulated in the Agreement.

4. Personal Success and Positions. The Compensation Plan sets out the positions which a Team Member may reach. However, it should be noted that as in any business high positions in the Company’s system require excellent sales efforts and talent and are not easily achieved.

5. Waiver of Enrollment Fee. There is no obligation on a Team Member to pay an enrollment fee and the Company hereby waives its right to request the payment of such fee. The purchase of the Start Kit is strictly optional.

6. Applicable Law and Jurisdiction. The parties agree that the Agreement with the Company is governed and construed by Dutch Law. The courts of the Netherlands shall settle any disputes arising in connection with the Agreement.< br/>
7. Severability. The terms of the Agreement shall be deemed severable. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provisions.

8. Conflicts of Provisions. If any provision of these Terms and Conditions conflicts with the terms of the Policies and Procedures, the Compensation Plan or the Team Member Application, these Terms and Conditions shall control.

SHIPPING— The UPS system of distributing Agel Product throughout Europe is working as designed. Confirmed orders are going out on time and arriving within days. Within 24 to 36 hours of shipping, European Team Members have access to their tracking numbers in their back office.

We have a small problem with Team Members entering their addresses incorrectly in the back office. Right now we are working on a solution that will force the correct address fields when a team member enrolls in Europe; however, until that is ready, we need your help communicating to the field that if their address is incorrect in the back office, their orders will not be delivered. Team Members can go into their back office and check and update their address if needed.

Another shipping issue is that of Team Members being listed in country warehouses that are not correct. It is the Team Member’s responsibility to make sure they are listed in the correct warehouse. If they are listed in the wrong warehouse, they will not receive products or commissions. If you have European Team Members who signed up in the wrong warehouse (i.e US Special, Russia, Israel, Australia, etc.), we need to know who they are and their ID number to make that change. Finally, we cannot send orders to European Team Members who have not submitted their signed applications within 15 days of enrollment.

Hello Agel World Team!

Just a quick note to remind you about the 2006 Agel’s “Run with the Horses” promotion. The Agel promotion goes from Sept. 1, 2006, to Dec. 31, 2006 and includes the two of the following prizes for qualifying winners:

1. Agel team member(s) to develop at least five personally enrolled, newly promoted managers during the course of the promotion will receive $USD 2000.
2. The team member to develop the most personally enrolled, newly promoted managers during the course of the promotion will be awarded a 2007 Ford Mustang. The winner may select a convertible or hardtop in the color of their choosing.

Promotion Rules:

• Promotion duration: Sept. 1 through Dec. 31.
• The promotion will be measured based on the number of personally sponsored Agel team members who achieve manager status or higher for the first time between Sept. 1 and Dec. 31, 2006.
• All sponsored Agel team members who are not managers or above as of Sept. 1, as well as all newly sponsored team members after Sept. 1, can be counted toward the promotion.
• The $2000 cash bonus will only be paid for the first five personally sponsored managers (PSM) during the promotion window. It will not be paid out for every five PSMs. (If you have 10 or more PSMs you will still only receive $2000.)
• Five qualifying PSMs must be at manager rank (2,000 CV in their lesser leg) during the month of December in order to qualify for the $2000. To clarify: a team member may qualify for the first time in September and then qualify again in December and have the manager rank, but still only have 1800 CV in their lesser leg for that month. In that case, or a similar case, they would not count as a PSM.
• In addition to the $2000 cash bonus, Agel will give away one new Mustang to the team member with the most PSMs during the promotion period.
• The Mustang that will be given to the winner is the base V6 model. The winner may select a convertible or hardtop in the color of their choosing. Sales tax and income tax for the prize will be paid. The total prize maximum will not exceed $30,000.
• The $2000 cash bonus prizes and the Mustang will be awarded at the “Go Diamond” event in February 2007.
• In the event of a tie, the winner will be selected based on the volume of the lesser leg generated in the organizations of the qualifying PSMs.
